USER AGREEMENT

Thank you for using services provided by Call Israel ("Call Israel").

THE AGREEMENT

Your agreement with Call Israel Corp consists of (1) this Customer Service Agreement ("CSA"), (2) the current per-minute rates, and (3) the applicable schedule associated with the calling plan to which you are subscribed ("plan") (the three components are collectively, the "Agreement"). by subscribing to, using, or paying for the services, you agree to the prices, charges, terms and conditions in this agreement. if you do not agree to these prices, charges, terms and conditions, do not use the services.

This Agreement applies if you have subscribed to a Call Israel Direct (post paid service) or Call Israel Calling Cards (pre paid phone cards) or Local telephone number service offering (the "Services"). Call Israel reserves the right to change the terms of this Agreement ("Terms") at any time.

This Agreement applies to state-to-state and international long-distance calls. State regulations and requirements, including tariffs filed with the State Public Service Commissions; apply to your intrastate telecommunications services.

SERVICES 2.1. Acceptance

In its sole discretion, Call Israel may accept or reject your order for Services for any lawful reason. Before activation of any Service, Call Israel may check your credit, verify your identity, charge a deposit, prepayment or other fee to establish or maintain Services, or require that you execute any authorizations and verifications it deems necessary. For any number of reasons, the Services may not be activated immediately.

For abroad and overseas customers, Call Israel customer service representatives may ask for documentation for verification purposes. This may include, but is not limited to, a passport, driver's license, or a copy of the front and back of your credit card.

2.2. Credit Limits and Deposits

If Call Israel bills you for the Services and we determine that you may be a credit risk because of (1) fraudulent or abusive use of any Call Israel Services; (2) late payments for current or prior bills; or (3) high volume usage of the Services, we may require a deposit (or an advance payment as permitted by state law) to ensure payment for the Services. If you fail to pay for the Services when due, Call Israel may use the deposit to pay your balance without giving notice to you. Similarly, Call Israel may set a credit limit. If you exceed the limit, Call Israel reserves the right to restrict your access to the Services, and will provide notice of such restriction as soon as reasonably practicable. Call Israel also require that you pay its charges in less than the standard 21 days from the invoice date, by using the payment method provided by you.

2.3. Cancellation of Service by Customer

If you want to cancel your Call Israel Direct service or Local Telephone Number service and receive no additional invoices from Call Israel, you should send an e-mail to service@CallIsrael.com to notify it of your desire to terminate, or by entering your account at Call Israel website (www.call-israel.com), and cancel there. It may take a few days to process your order, and you will continue to be responsible for Call Israel charges until we complete the cancellation.

2.4. Restrictions on Use of Service

The Services cannot be used in an unlawful, fraudulent or abusive manner.

If you do not use your prepaid card balance within six (6) months from the date of purchase, you will lose the balance remaining on the card.

2.5. Discontinuation of Services by Call Israel

Call Israel may immediately discontinue or otherwise limit your use of the Services without notice if (1) Call Israel has reasonable grounds to believe that you have used the Service in an unlawful, fraudulent or abusive manner, (2) you fail to pay for the Services, (3) Call Israel determines that you are a credit risk, (4) you refuse to pay a deposit or adhere to a credit limit, required by Call Israel to reduce your credit risk, (5) you fail to provide information, or provide false information, that is essential for billing, (6) you have breached this Agreement and (7) you have acted in a manner that is threatening, obscene, harassing, or abusive to Call Israel personnel. The discontinuance of the Services by Call Israel does not relieve you of any obligation to pay Call Israel for charges due and owing for Services furnished up to the time of discontinuance.

2.6. Unauthorized Use

You are responsible for preventing the unauthorized use of the Services, and you are responsible for payment for any such unauthorized use.

3. Call Records 3.1. Prepaid calling cards

We do not offer call records for prepaid cards service, either printed or online.

We can, however, provide limited information. If you have specific questions regarding one call, you may call the customer service number. On a limited basis, a representative can tell you the Date, Time, and Duration of call and Destination.

For additional call detail information, or for more information than for one or two phone calls per record, go to your local law enforcement office to apply for a subpoena.

3.2. Call Israel Direct (Post paid service)

Call Israel Direct service customers, will receive with their invoices detailed call log. 4. TRANSMISSION

Call Israel is in no way liable for transmission failure, including but not limited to, the failure, delay, interruption or corruption of any data or other information transmitted in connection with use of the site. Information is transmitted over many different exchanges, the internet, routers, carrier lines, and local and long distance phone companies and internet service providers. these devices are maintained, serviced, and owned by third parties. their maintenance and service is out of the control of Call Israel.

5. PLAN USAGE

Plans may not be used in conjunction with certain other promotions, discounts and contests.

5.1. Rates

Rates may vary. Rates are the rate set forth for each specific plan and/or specific destination based on Call Israel tariff price list publish on Call Israel web site, plus any added fee(s), and/or charge(s) set forth herein or in information for any of services. All calls are billed in 1-minute increments and rounded up unless otherwise stated. For each answered call, billing begins only when connection with the destination occurs.

Call terminations at an international cellular phone number will be charged at a higher rate unless the rate is specifically stated for cellular phones. Calls made via 1-800 access numbers will be charge at higher rate, a 1- 800 access charge may be applied to calls without a valid destination number and shall be charged to your account.

Federal, State, and local taxes for Lifeline Assistance and Universal Service Fund will be charged to your account. Calls to Directory Assistance will be charged at a higher rate and such fees shall be charged to your account

Application of surcharges and fees has the effect of reducing total available minutes. Your phone company may charge you for calling via Call Israel access numbers. It is your responsibility to choose the right access number that suits your phone calling plan.

5.2. Notice of Rate Changes 5.3 Call Israel Direct service (post paid)

Call Israel may change the per-minute rates, Surcharges and other Terms of the Agreement from time to time. Call Israel may decrease per-minute rates, Surcharges or both, without providing advance notice. Any increase in the per-minute rates and/or monthly plan charge , Surcharges or other Terms of this Agreement that may materially disadvantage you, will become effective only after Call Israel notifies you at least 15 days in advance of such change by message within your invoice or email. Written notice to you will be sent to your last known address as reflected in Call Israel's records. Notwithstanding the above, in the event that Call Israel's cost of terminating calls to a particular destination increases with less than 15 days notice to Call Israel, Call Israel may increase its rates without providing written notice to you. Instead, Call Israel will post the rate increase on its website at www.Call-Israel.com. Call Israel will not provide advance notice of changes to taxes and other charges required by law. Your continued use of the Services after any change in the per-minute rates, Surcharges or other Terms of this Agreement constitutes your acceptance of the changes.

5.4 Call Israel phone cards (pre paid)

Prices are subject to change without notice. Refunds will be offered in the form of exchanges or store-credit on all cards having a full balance, excluding discontinued products.

5.5. Billing Errors

Billing errors may occur. If you have been undercharged, we, in our sole discretion, may charge your provided credit card the amount for which you were incorrectly not charged.

6. PAYMENT OBLIGATIONS 6.1. Calling Plan Rates and Charges

You agree to pay Call Israel for all Services at the rates associated with the calling plan that you selected. Payments must be in U.S. currency. The per-minute rates associated with the calling plans currently marketed by Call Israel are set forth in the appropriate Calling Plan Schedule. You also agree to pay applicable Surcharges that are not taxes or otherwise required by the government to be assessed on you ("Surcharges"). Surcharges associated with particular calling plans are similarly set forth in the appropriate Calling Plan Schedule. You agree to pay any taxes and fees that are required to be paid by the government ("Government Mandated Charges"). The Government Mandated Charges vary by state and are not set forth on Call Israel's website. Call Israel will not issue prepaid customers refunds or credits. Call Israel will issue postpaid customers credits in its sole discretion.

6.2. Surcharges Generally

In addition to any applicable per-minute rates, Call Israel may invoice you the following additional Surcharges that are not taxes or otherwise required by the government: (A) Carrier Cost Recovery Fee that is assessed on your state-to-state and international long distance charges; (B) Minimum Usage Fee that is assessed if you do not have a minimum amount of charges on your bill; and (C) Universal Service Fee that is assessed on all per-minute and other charges and (D) fixed monthly fee. To view the exact Surcharges that apply to your plan, please refer to the applicable Calling Plan welcome kit.

6.3. Payment of Invoices

Invoices will be paid automatically within 21 days from the invoice date, by using the payment method the customer chose.

6.4. Late Payments

Call Israel may charge you interest equal to the lesser of 1.5% per month or the maximum rate allowed by law, for all late payments. The interest will be applied to the entire unpaid balance. Call Israel may charge you a fee equal to the lesser of $25 or the maximum rate allowed by law, if your check, bank draft or electronic funds transfer is returned for insufficient funds.

6.5. Collection Agency

If Call Israel hires a collection agency to collect, or attempt to collect, any charges owed Call Israel; you will be liable to Call Israel for an additional payment of $25, where permitted by applicable law. If Call Israel incurs any fees or expenses, including attorneys' fees, in collecting, or attempting to collect, any charges owed Call Israel other than hiring a collection agency, you will be liable to Call Israel for the payment of all such fees and expenses reasonably incurred.

6.6. Disputes

Disputes concerning any charges must be raised within 30 days of the invoice date. Disputes may be raised by calling customer service at 1-888-805-5772. Any charges not disputed within 30 days of the invoice date will be considered accepted. If after an investigation Call Israel determines that the disputed amounts are in fact due, Call Israel will require payment and, if necessary, may refer the account to a collections agency for collection.

7. PRIVACY STATEMENT AND POLICIES

Call Israel Corp, Call-Israel.com, ("Call Israel", "we", or "our"), and its Customers, Partners, Suppliers, and Affiliates recognize and respect the privacy expectations of our customers. The following must be read and assented to for you to use our site. By using the Site, you are stating that you have read and are agreeing to the following:

7.1. Customer Privacy

Call Israel is the sole owner of the information collected on this site. We will not sell, share, or rent this information to others in ways different from what is disclosed in this statement.

7.2. Information Collected

Call Israel can collect information from our users at several different points on our web site. We collect, retain, and use information about you for the purpose of administering our relationship with you. In order to administer our relationship with you, it is necessary for you to provide certain information upon using portions of our Site. Such information includes your name (either your name, company, or organizations name), address, phone number, e-mail address, and other information gathered through the applicable process.

7.3. Information Automatically Placed On Your Hard Drive (Cookies)

In order to provide service to you, we require that a cookie be transferred to your computer's hard disk for record keeping purposes. The Cookies capture your e-mail address and your first and last name. Cookies allow you to access our site easier by storing your password on your computer so that you do not have to enter your password each time you log onto our site. To gain access to our Site, your computer must accept Cookies.

7.4. Non-Personally-Identifiable Information Collected Automatically (IP Addresses)

We collect IP addresses. Collection of IP addresses allows us to monitor fraud on our Site.

7.5. E-mail

Note: E-mail sent to Call Israel may be used to answer questions, to follow up on questions and/or to improve the level of service provided to users. E-mail is not secure and is subject to interception by unauthorized individuals. If you wish to send personal or sensitive information, it should be sent by postal mail or phone via customer service.

7.6. Security

We maintain security measures to protect your information from loss, misuse and alteration of information under our control. Our site employs SSL 128 bit encryption when private information is passed from you to us. The level of encryption you ultimately obtain is dependent upon your browser's capabilities.

7.7. Sharing of Information

Within Call Israel, any employee access to customer information is for business purposes only and is based on a need to know basis. This information is shared with Affiliates so that we can provide services and products that meet your circumstances and needs.

7.8. Third Parties

We enter into agreements with outside companies to provide services to our users. When we enter into such agreements, we require that these companies adhere to the same strict privacy standards in regards to the security and confidentiality of your information. We also do not allow such third party companies to disseminate your information to any other party.

7.9. Unaffiliated Third Parties

As a service to our users, we partner with unaffiliated third parties to offer products and services. At no time is your confidential information provided to these third parties.

8. Call- Israel.com 8.1 Trademarks

The Call Israel name and logo and all related product and service names, design marks and slogans are trademarks, service marks or registered trademarks of Call Israel and may not be used in any manner without the prior written consent of Call Israel. All other product and service marks are trademarks of their respective owners

8.2 Consent to Monitoring and Disclosure

Call Israel is under no obligation to monitor the information residing on or transmitted to this server. However, anyone using this server agrees that Call Israel may monitor the server contents periodically to (1) comply with any necessary laws, regulations or other governmental requests; (2) to operate the server properly or to protect itself and its users. Call Israel reserves the right to modify, reject or eliminate any information residing on or transmitted to its server that it, in its sole discretion, believes is unacceptable or in violation of these terms and conditions

Should any user of information on this server provide Call Israel with information, including but not limited to feedback, data, answers, questions, comments, suggestions, plans, ideas or the like, such information shall be deemed to be no confidential and Call Israel assumes no obligation to protect such information from disclosure. The submission of such information to Call Israel shall in no way prevent the purchase, manufacture or use of similar products, services, plans and ideas by Call Israel for any purpose whatever and Call Israel shall be free to reproduce, use, disclose and distribute the information to others without restriction

8.3 Links

Call Israel is linked to by other Internet sites and resources. Call Israel is not responsible for the content or is in any way associated with these third parties. All inquiries regarding the linking sites should be directed to those sites. We may provide links to other web sites that we think may be of interest to our users. By providing links, we are not endorsing the materials and content disseminated at those web sites, and we are not responsible for the materials and content at any other site.

9. PROTECTION OF ID AND PASSWORD

You are required to have a password and user ID to access portions of our Site.

9.1 You are given a password and choose a user ID during registration. You can change your password through account management in the "My Account" section of the Site. Information given during registration must be accurate and updated accordingly. You must be 18 years or older to use this site. In order to protect the accounts of all users, you may not select or use a user ID of another person or use a user ID in which another person has already claimed. Noncompliance with the foregoing shall constitute a breach of this Agreement. Such noncompliance may result in termination of your account. You are solely responsible for maintaining the confidentiality of your user ID and password.

9.2. Call Israel has no intention of collecting personally identifiable information (name, address, telephone number, or e-mail address) from individuals under the age of eighteen. If a child has provided us with personally identifiable information, a parent or guardian of that child should contact us at the e-mail address if they would like the information deleted from our records. We will use reasonable efforts to delete the information regarding the child from our files.

9.3. We continually strive to maintain accurate and complete information about our users, members, customers, and clients. If you believe that information is inaccurate or incomplete, you should notify service@Call Israel.com with concerns and the accurate information. We will use reasonable efforts to correct the incorrect information.

9.4. You must notify Call Israel at, service@Call Israel.com of any known or suspected breach of security, including theft, loss, or unauthorized disclosure of your password or credit card information, or unauthorized access or use(s) of your account, or any known or suspected.

9.5. You are responsible for any and all use and activity on your Call Israel account. You are responsible for third party users, including employees, authorized or unauthorized by you to use your user ID and password. Any illegal activity, including, but not limited to, fraudulent misrepresentation, may be, at Call Israel's sole discretion, grounds for termination of your account. In certain circumstances, Call Israel may refer you to appropriate law enforcement agencies.

10. LIABILITY

10.1. you agree that Call Israel should not be responsible for any third-party claims against Call Israel that arise from your use of the services. further, you agree to reimburse Call Israel for all costs and expenses related to the defense of any such claims, including attorneys' fees, unless such claims are based on Call Israel's willful misconduct or gross negligence. this provision will continue to apply after the agreement ends.

10.2. Call Israel will not be liable for any damages if services are interrupted, or there is a problem with the interconnection of calls israel's services with the services or equipment of some other party. this section continues to apply after the agreement ends.

Call Israel will not be responsible for customers mistakably using direct international calls instead of going through Call Israel services to obtain international or national calls.

10.3. Warranties

Any Call Israel material on this server may include technical inaccuracies or typographical errors. Call Israel has the right to make changes and updates to any information contained within this server without prior notice.

the information provided on this server is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including, but not limited to, warranties of title, no infringement or implied warranties of merchantability or fitness for a particular purpose. no advice or information given by Call Israel internet services inc., its affiliates or their respective employees shall create any warranty. neither Call Israel nor its affiliates warrants that the information on this server or on the internet generally will be Call Israel or error free or that any information, software or other material accessible from this server is free of viruses or other harmful component

10.4. Legally Required Disclosure

There may be occasions where we are legally required to disclose information about you, such as in response to a subpoena, to prevent fraud, or to comply with a legally permitted inquiry by a governmental agency.

10.5. INDEMNIFICATION

You agree to defend, indemnify and hold Call Israel, its officers, directors, employees, agents, subsidiaries, Customers, Partners, Suppliers, and Affiliates (the "Indemnified Parties"), from and against any and all liability, costs, and settlements, including, without limitation, reasonable attorneys' fees and accounting fees, incurred by the Indemnified Parties in connection with any claim arising out of any breach of this User Agreement by you or any user of any account assigned to you, whether such user is authorized or unauthorized. Call Israel will promptly provide notice to you of any such claim, suit, or proceeding and, at your expense, will reasonably cooperate with you in your handling of such matter.

10.6. SEVERABILITY

If any provision of this User Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of the User Agreement, which shall remain in full force and effect.

10.7. WAIVER

No waiver of any of these provisions shall be deemed a further or continuing waiver of such provision or any other provision.

11. FORCE MAJEURE

Call Israel is not liable for failure or delay in performing an obligation under this Agreement that is due to causes beyond its control, such as natural catastrophes, governmental acts or omission, laws or regulations, labor strikes or difficulties, computer viruses, war, transportation stoppages or slowdowns or the inability to procure Content, information, service, carriers, Product, Software, or Demonstrations. If any of these causes continue to prevent or delay performance for more than 180 days, you may terminate this Agreement, effective immediately upon notice to Call Israel.

12. COMPLETE AGREEMENT

These provisions constitute the entire Agreement between you and Call Israel with respect to the use of this Site and any Software, Content, or Product contained therein, unless specified and marked "ADDENDUM" on the site.

14. MISCELLANEOUS PROVISIONS 14.1. Entire Agreement

This Agreement and the terms of any calling plan, promotion, and/or authorized written communications you have received constitute the entire Agreement between you and Call Israel, and supersedes any and all prior agreements, oral or written, concerning the subject matter. If there is any inconsistency or conflict between the terms of any calling plan, promotion, and/or authorized written communications you have received and the provisions of this Agreement, the provisions of this Agreement will control.

14.2. No Obligation to Assist in Switching Carriers

If you voluntarily cancel your Call Israel account or if Call Israel cancels your service for any reason set forth above, Call Israel will have no obligation whatsoever to assist you in any respect in switching from Call Israel to another carrier.

14.3. Assignment

You may not modify or assign this Agreement. In its sole discretion, Call Israel may assign this Agreement.

14.4. No Waiver of Rights

No failure to enforce any right or remedy under this Agreement shall be considered a waiver of any other condition or provision or the same condition or provision at another time.

14.5. Binding Effect

This Agreement is binding upon you and Call Israel, their respective heirs, successors and permitted assigns. 14.6. Severability

If any part or provision of this Agreement is finally determined to be invalid or unenforceable under applicable law, then that part or provision will be ineffective only to the extent of such invalidity or unenforceability, without in any way affecting the remaining parts or provisions of this Agreement.

14.7. Governing Law

This Agreement is governed by and construed by the Federal Communications Act to the full extent applicable, and otherwise by the laws of California, without regard to its choice of law principles, except that the arbitration provisions in the Dispute Resolution section shall be governed by the Federal Arbitration Act. This governing law provision applies no matter where you reside, or where you use or pays for the Services.

14.8. Survival

Any liability or obligation of a party to the other party under the Services section and the Payment Provisions section, will, in each case, survive cancellation or termination of this Agreement.

14.9. Headings of No Force or Effect

Headings in this Agreement are for reference only and have no effect on the meaning of any provision.

15. COPYRIGHTS AND TRADEMARKS 15.1 Copyright Notice

Copyright Call Israel Corp, 1003 Wilshire Blvd. Suite 202, Santa Monica, CA 90401. All rights reserved. All material on this site is owned by Call Israel, or its Customers, Partners, Suppliers, or Affiliates, and is protected by national and international copyright law. Unauthorized duplication or distribution is prohibited.

15.2 Trademarks

Call Israel is trademark of Call Israel Limited Company. The names of companies and products mentioned and contained on the Site may be the trademark of their respective owners.

16. IDEA SUBMISSIONS

Our policy is to not accept unsolicited ideas about new marketing, advertising, product, and/or packaging concepts and/or improvements. This policy is to avoid confusion about our ownership of new concepts. If you do send us a message about a proposed new idea, your message will be treated as non-proprietary and non-confidential and becomes our property and may or may not be used by us for any purpose without compensation to you.

17. REPRESENTATIONS AND WARRANTIES

17.1 You represent, warrant and covenant: (a) that you are at least eighteen years old, (b) that all information provided by you is accurate and correct, and (c) that you will not infringe the right of any third party.

17.2 use of this site is at your sole risk. Call Israel does not represent or warrant: the accuracy or reliability of any content, information, service, product, software, or demonstration contained on the site. reliance upon such content, information, service, product, software or demonstration shall be at your own risk

17.3 the content, information, services, product, software, and demonstrations, contained herein and provided are done so on an "as is" basis without any warranties of any kind. Call Israel and its respective customers, partners, suppliers, and affiliates, to the fullest extent permitted by law, disclaim all warranties, either express or implied, statutory or otherwise, including but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose, and non-infringement of third parties' rights. Call Israel and its respective customers, partners, suppliers, and affiliates make no representations or warranties about the reliability, completeness, accuracy, suitability, current applicability or timeliness of the content, information, services, product, software, and demonstrations on or through the use of the site.

17.4 Call Israel, its officers, directors, employees, agents, licensors, and/or its respective customers, partners, suppliers, and affiliates and suppliers shall in no event be liable for any damages whatsoever, including, without limitation, incidental and consequential damages, damages resulting from lost data or business interruption, or lost profits, resulting from the use or non-use of the site or the content, information, service, product, software, and demonstrations and the related graphics contained therein. such limitations to consequential and incidental damages is in effect and full force whether based on warranty, contract, tort or any other legal theory, and whether or not Call Israel is advised of the possibility of such damages. if you are dissatisfied, your sole and exclusive remedy under this agreement is to discontinue use of this site. since some states/jurisdictions do not allow for the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. remedies under this agreement are exclusive and limited to those expressly provided for in this agreement.
